Compute Service Agreement · Draft for Legal Review

Version: 1.0 中文

This Agreement is between you and the compute service provider identified on the DesireCore purchase page and your order (“we,” “us” or “our”). It governs compute packs, add-ons and their included benefits purchased and used through DesireCore. The provider, payment recipient and contact details must be disclosed before payment. An entity providing only software, a listing or payment processing does not automatically become the party responsible for supplying compute services.

Please read this Agreement before purchasing, particularly the provisions on expiry, usage charges, refunds, service restrictions and liability. It takes effect between the parties when you actively check an acceptance box or otherwise expressly confirm acceptance. Browsing, downloading the software or registering an account does not constitute a compute purchase or authorization for automatic renewal.

1. Services and scope

1.1 Compute services connect supported models and tools through DesireCore for chat, reasoning, recognition, image, audio, music, video and related capabilities. Available capabilities, models, regions, concurrency limits and benefits are defined by your confirmed plan and service description. Software and model inference may be supplied by different entities; inference is provided by the partners identified on the purchase page.

1.2 Credits measure and settle consumption of services under this Agreement. They are not currency, deposits or investment products, earn no interest or return, and carry no promise of value preservation. They convey no ownership of servers, models or infrastructure. A fixed number of Credits does not guarantee a fixed number of conversations or completion of a particular task.

1.3 This Agreement does not cover independent services you access using your own API keys, third-party subscriptions or local models. You settle those fees with the relevant provider. Commercial agent rentals, enterprise software licenses, private deployments and custom development are separate purchases unless expressly included in your order.

2. Eligibility, orders and delivery

2.1 You must have the legal capacity required for the transaction. Minors must obtain guardian consent where required by law. A person purchasing for an organization must be authorized and verify the personal account or enterprise workspace receiving the Credits. The validity and treatment of transactions involving minors or lack of authorization are governed by applicable law.

2.2 Before payment, check the plan, Credits quantity, amount and currency, validity, delivery method, benefits, refund terms and whether the purchase is one-time or recurring. Confirmed order details form part of this Agreement. Promotions, coupons, bonus Credits and their restrictions must be disclosed before you confirm the transaction.

2.3 Credits are normally issued to the designated account immediately after successful payment. If payment confirmation or synchronization delays delivery, we will verify the transaction and promptly deliver the missing Credits or refund the undelivered portion. Crediting your account activates your entitlement; it does not mean all future compute services have already been performed or remove statutory refund and remedy rights.

2.4 You may check orders, issuance records and available Credits in your account. Keep the order number and payment receipt. Request an invoice through the order channel or the contact details in this Agreement; we will provide an invoice or receipt reflecting the actual transaction as required by law.

3. Validity and add-ons

3.1 Validity runs from actual issuance for the period specified in the order. Monthly plans and corresponding add-ons are valid for one month; annual plans and corresponding add-ons for one year. Any special validity period must be disclosed and confirmed before purchase. Account records must show start and end times consistent with the order; payment or issuance delays must not shorten actual usable time.

3.2 Use Credits within their validity period. Credits left unused for reasons attributable to you expire and ordinarily do not roll over, receive extensions or convert to cash, except where required by law, promised in the order, or where our failure to perform has affected use. We must prominently disclose validity and expiry rules before purchase and provide batch balances, expiry dates and approaching-expiry notices in your account.

3.3 You may purchase and stack add-ons across tiers before or after exhausting your Credits. Add-ons have the same price, Credits quantity and validity as the corresponding plan, as specified in that order. Each purchase creates a separate batch. New purchases, renewals and cancellation of renewal do not change older batches’ expiry dates or restore expired Credits.

3.4 Among Credits eligible for the relevant purpose and account, the earliest-expiring batch is used first. Free or promotional Credits follow the scope, quantity and validity disclosed when claimed. Bonus rules do not reduce purchased Credits or alter our performance and refund obligations for paid services.

4. Metering and usage charges

4.1 Credits are deducted according to actual service usage and applicable rates. Factors may include input and output Tokens, context and caching, calls, image quantities or specifications, and audio or video duration. Rates may differ by model, tool and version. Units, multipliers and measurement methods must be disclosed in model selection or billing information before use.

4.2 A task may involve multiple model calls, historical context and tool steps; one task is not necessarily one billing event. Agents, scheduled tasks and automations you authorize also consume Credits when using chargeable capabilities. Closing a window, leaving a conversation or stopping a task does not reverse services already supplied and properly charged.

4.3 A call accepted and started is settled under the rules applicable when it began, without retroactive increases. For failed or cancelled tasks, only services actually supplied and chargeable under previously disclosed rules may be billed. Calls that did not occur, duplicate entries and erroneous deductions attributable to us must not be charged. Unused reserved Credits must be released after settlement.

4.4 Insufficient Credits may prevent a call from starting or continuing. Without separate authorization, we will not buy an add-on or charge your payment account because your balance is low. You may dispute consumption using the order number, call time and issue description. We must explain the measurement basis and correct confirmed errors; our internal records do not exclude your evidence or right to challenge a charge.

5. Accounts and included benefits

5.1 Personal Credits are ordinarily for the account specified in the order. They cannot be withdrawn, exchanged for cash or used to settle third-party payments, except for lawful refunds. Unless otherwise required by law or lawfully agreed, you must not sell or rent accounts or transfer Credits by circumventing account rules.

5.2 Enterprise packs may be shared within the same enterprise workspace by authorized members, cloud-hosted agents and agents connected to business systems, as agreed in the order. Administrators must manage permissions and usage scope. Internal sharing does not transfer Credits to other organizations or automatically authorize resale of model services.

5.3 Standard packs do not include an enterprise service level agreement (SLA). Availability metrics, support, compensation and claim procedures for enterprise packs follow the order or separate SLA. Absence of an SLA does not remove our obligations to provide the agreed service, address faults or meet statutory responsibilities.

5.4 Concurrency, team management, agent repositories, cloud synchronization and other benefits follow the plan. Unlimited seats or Agent concurrency does not mean unlimited Credits, unrestricted request rates or unconditional access to every model. The scope and duration of benefits when stacking plans must be disclosed before purchase; stacking Credits does not automatically multiply every benefit without limit. Public distribution, agent rental or high-concurrency business use requires enterprise services expressly supporting that use and compliance with relevant partner terms.

6. Refunds and transaction errors

6.1 Compute already properly supplied and accurately charged is ordinarily non-refundable. Refunds for unused Credits depend on applicable law, the order and actual performance. Without a statutory or contractual refund entitlement, changing personal needs, reduced use or failure to use Credits within the agreed period does not automatically entitle you to a refund. We will not use labels such as ‘virtual goods’ or ‘delivered upon crediting’ to categorically exclude statutory termination rights, return of prepayments or other consumer rights.

6.2 For duplicate payments, missing Credits after payment, incorrect billing, unauthorized transactions or our inability to supply the principal agreed service, you may request investigation, correction, delivery, continued performance or a lawful refund. Applicable cooling-off rights, rules for reversing minors’ transactions and other special protections remain effective.

6.3 Refunds are ordinarily based on the amount actually paid for the relevant order, less service charges lawfully due, with an explanation of the calculation. Where a refund results from our failure, we will not reprice past usage at a higher list price or force you to accept Credits instead of a refund available under law. Treatment of promotional benefits and used discounts must be lawful and reasonable; unreasonable deductions must not offset amounts owed.

6.4 Submit your account identifier, order number, payment receipt and reason through order support or the contact details below. We will verify the transaction and performance and explain the outcome, amount and expected arrival time. Verification is limited to necessary information; we do not require your payment password or SMS verification codes.

6.5 Approved refunds normally return through the original payment channel. If that is unavailable, a lawful alternative will be agreed after verification. Refunded unused Credits and associated benefits end accordingly, without affecting separate orders. Turning off renewal does not itself request a refund; renewal orders follow the same refund rules.

7. Availability and service changes

7.1 We will take reasonable measures to maintain reliability and security. Foreseeable maintenance affecting normal use should be announced in advance with its expected scope and duration. We should promptly investigate and repair faults and communicate progress.

7.2 Models or tools may change, be rate-limited or become unavailable because of upstream changes, security concerns, legal requirements or upgrades. Changes affecting the principal content of purchased services require advance explanation and reasonable arrangements. If we cannot perform as agreed, we must provide continued performance, extensions, compensation or refunds for unperformed services as required by law.

7.3 If our failure prevents normal use within the validity period, we will address the affected scope and duration through extensions, restored Credits or lawful refunds. Partner outages do not automatically release us from obligations as the order’s service provider. Issues caused by your equipment, network or independently selected third-party services are allocated according to the parties’ respective causes and responsibilities under law.

7.4 A party affected by force majeure must promptly notify the other, provide necessary explanation within a reasonable time and mitigate loss; liability follows applicable law. If service ends or cannot be provided for an extended period, we must stop collecting prepayments we cannot fulfill, explain the arrangements and settle unperformed services. Account closure or shutdown does not remove refund obligations.

8. User duties and enforcement

8.1 Use models and tools lawfully. Do not generate illegal content, infringe rights, commit fraud, conduct cyberattacks, disrupt service, misuse payment accounts or exploit vulnerabilities for Credits. Data, instructions and materials must have lawful sources and necessary permissions. Follow applicable model rules disclosed before use.

8.2 Protect your account and credentials and appropriately configure agents, scheduled tasks and member permissions. For suspicious consumption or compromise, promptly stop relevant tasks, change credentials and contact us. Unauthorized consumption is assessed using evidence, each party’s fault and applicable law; an account-originated request alone does not make you responsible for every loss.

8.3 Where there are reasonable grounds to suspect illegality, fraud or security threats, we may proportionately restrict, suspend or terminate access. Unless notice is legally prohibited or urgent action is necessary, we should explain the reason and provide an appeal channel. Restrictions require prompt review and restoration when justified. Paid balances must be settled lawfully, rather than automatically forfeited upon suspension.

9. Data and information protection

9.1 To supply compute, meter usage, process payments, protect security and resolve support issues, relevant entities process necessary account identifiers, orders, transactions, usage and operational logs. Purposes, methods, retention and personal information rights follow the Privacy Policy and service disclosures provided to you.

9.2 Cloud model or tool use may send necessary instructions, context and selected file content to the relevant provider. Default local storage does not mean cloud calls run entirely on your device. Partner processing and cross-border transfers require lawful disclosure and separate consent where required. This Agreement is not blanket permission for unrestricted data sharing or model training.

9.3 This Agreement does not change your rights in inputs, account data or outputs to which you are legally entitled. You may request access, correction or deletion under the Privacy Policy. Transaction and performance records that must be retained by law are handled accordingly.

10. Limitations and liability

10.1 Compute services supply access to models and tools. They do not guarantee that every output is accurate, unique or suitable for a particular purpose, or that every task succeeds. Verify outputs for your use case and obtain appropriate professional judgment for medical, legal, financial and important business decisions.

10.2 A party breaching this Agreement and causing loss must bear responsibility consistent with the breach, fault and loss under applicable law. The affected party should reasonably mitigate loss. Limitations in capabilities or outputs do not remove our obligations concerning charges, performance and security.

10.3 No limitation or exclusion applies to liability that cannot lawfully be limited, including personal injury, property loss caused intentionally or through gross negligence, and mandatory consumer or personal information protection obligations.

11. Prices, changes and termination

11.1 The confirmed order determines the plan price. Future plan price changes do not retroactively alter paid order prices, issued Credits quantities or agreed validity. Changes to call rates or multipliers require prominent advance notice of scope and timing and cannot reprice completed calls. Material adverse effects on purchased services require lawful choice or exit arrangements.

11.2 Agreement changes for service or legal reasons require explanation of their content, effective time and impact. Material changes increasing fees or obligations or reducing principal rights require necessary express consent before application; silence or continued use alone is not acceptance. You may stop new purchases or calls and arrange lawful treatment of unperformed orders. Renewal changes also follow the Auto-Renewal Service Agreement.

11.3 You may stop using services and request account closure under account rules. Review unfinished tasks, unsettled orders, remaining Credits and renewal status first. We must explain the consequences and lawfully handle refunds, settlement and stopping future charges, without requiring waiver of valid balances or claims as a closure condition. Termination does not remove existing settlement, refund, dispute or continuing statutory information-protection duties.

12.1 This Agreement operates with the Terms of Use, Privacy Policy and confirmed orders. For compute purchases, consumption, performance and refunds, this Agreement prevails over conflicting general terms. Separately negotiated lawful service contracts apply according to their terms. No provision excludes mandatory law or legally binding promises more favorable to consumers.

12.2 Formation, performance, interpretation and disputes are governed by the laws of mainland China, without removing other mandatory consumer protections that lawfully apply to you. The parties may negotiate; you may also complain, seek mediation or bring proceedings before a court with jurisdiction. Negotiation is not a precondition to statutory remedies.

12.3 Contact the provider’s support channel shown in the order, or ask DesireCore to coordinate service, billing and support matters at manage@solar-corona.com or +86 0871-67400749. Include relevant order and contact information. We will promptly receive your request and communicate progress.
